Access to, browsing and use of www.magnon.es (hereinafter, the “Website”) implies the express and unreserved acceptance of the provisions set out in this Legal Notice and Terms of Use (hereinafter, the “Terms”), which have the same validity and legal effect as any written and signed contract. If the user does not agree with the Terms, they must refrain from accessing, browsing or using the Website.

2. Purpose and scope of application

These Terms govern access to, browsing and use of the Website, as well as the contents and services available through it.

Magnon reserves the right to amend the Terms at any time by publishing updates on the Website. The Terms shall remain in force for as long as they are displayed, until replaced by updated versions.

3. Rules for access to and use of the Website

The user undertakes to use the Website in accordance with the law, good faith, morality and public order. By way of example, the following is prohibited:

• Intentionally causing damage, interruptions or deterioration to the Website.
• Accessing, without authorisation, sections of the Website restricted to certain users.
• Circumventing, breaching or attempting to breach security or authentication measures.
• Disproportionately overloading the Website’s infrastructure.
• Preventing the normal operation of the Website’s functionalities or activities.

Failure to comply with these obligations may result in Magnon adopting the appropriate legal measures, without the user being entitled to any compensation in this respect.

4. Intellectual and industrial property

Magnon is the owner or licensee of the intellectual and industrial property rights over the Website and its contents: texts, images, photographs, illustrations, graphics, designs, interface, trademarks, trade names, logos and any other protected works or services.

Access to the Website does not grant the user any licence or assignment of rights. It is prohibited to reproduce, distribute, publicly communicate, transform, extract or exploit, for public or commercial purposes, all or part of the contents without the prior written authorisation of Magnon or the corresponding rights holder.

Likewise, it is prohibited to remove or manipulate copyright notices or protection marks incorporated in the contents.

When the user submits information or content through the enabled channels, they declare and guarantee that: (i) they hold the necessary rights or have the relevant authorisation; (ii) they do not infringe third-party rights (intellectual/industrial property, trade secrets, privacy, image, etc.); and (iii) the information is not confidential or harmful to third parties. The user shall be responsible for the communications they provide and shall hold Magnon harmless from any claims by third parties.

5. Links and third-party sites

The Website may contain links to third-party sites (e.g. LinkedIn). Magnon does not control the contents, privacy policies or practices of such sites, nor is it responsible for their availability, security or legality.

The inclusion of such links does not imply any relationship, endorsement or control over their contents or services. By accessing them, the user enters an environment not controlled by Magnon and shall be responsible for the information they decide to provide there.

Linking to the Website from pages containing unlawful, degrading or offensive content, or content contrary to the law, morality or public order, is not permitted. Magnon assumes no responsibility for the contents of pages linking to the Website.

6. Responsibilities and warranties

Magnon has adopted all reasonable technical and organisational measures to ensure the proper functioning of the Website and to reduce errors. However, Magnon does not guarantee or accept responsibility for:

(i) the continuity or availability of the contents; (ii) the absence of errors; (iii) the absence of viruses or other harmful components; (iv) the invulnerability of the Website or the impossibility of breaching its security measures; (v) the usefulness or performance of the contents; (vi) damage caused by third parties through breach of the Terms or security systems.

The user shall be responsible for the decisions they make based on the information provided on the Website and/or social media profiles, which is for informational purposes only.

7. Notification and removal of unlawful content

If the user becomes aware of unlawful content or content that infringes rights, they must immediately notify Magnon via the email address provided on the Website, indicating the alleged infringement and the affected material. Magnon may remove or block such content once it has actual knowledge thereof.

8. Suspension, modification and termination

Magnon may suspend, modify, restrict or interrupt, temporarily or permanently, access to, browsing, use, hosting or downloading of contents or services on the Website, with or without prior notice, without the user being entitled to claim any compensation.

9. Confidentiality and data protection

Where registration is required to use certain services or contents, the user undertakes to provide truthful, accurate, up-to-date and complete information about their identity. The user shall be responsible for safeguarding their username and password and undertakes to use them diligently and confidentially. Magnon shall not be liable for any damage arising from improper or negligent use of access credentials by the user or third parties.

The user guarantees that the personal data and information provided through the Website forms are truthful, accurate, complete and up to date. The user shall be responsible for keeping such information updated at all times and for any damage caused to Magnon or third parties as a result of inaccurate or false data.

The processing of personal data is governed by the Website’s Privacy Policy, which the user must accept in order to use certain services. Magnon will process data in accordance with applicable regulations (GDPR and LOPDGDD) and the purposes and legal bases indicated in that Policy. 10. Specific conditions regarding social media profiles

Magnon’s social media profiles may include content, opinions or recommendations from third parties that do not necessarily reflect Magnon’s views.

11. Miscellaneous

The headings of the clauses are included solely for ease of reading and shall not affect the interpretation of these Terms of Use.

The nullity or unenforceability, in whole or in part, of any provision by a decision of a competent authority shall not affect the validity of the remaining clauses.

Failure by Magnon to exercise or enforce any right or provision contained in these Terms shall not constitute a waiver thereof, unless expressly acknowledged in writing.

In the event of discrepancies between different versions of the Terms, the Spanish version published on the Website shall prevail.

Magnon may amend or update the Terms at any time, and they shall remain in force for as long as they are displayed on the Website, until replaced by a new version.

12. Applicable law and jurisdiction

Any dispute arising from or related to this Website shall be governed by Spanish law, and the Courts and Tribunals of Madrid (capital) shall have jurisdiction to resolve any conflict arising from or related thereto.
